These Terms and Conditions govern your use of the Marketing Graphs website and the engagement of our digital marketing services. Please read them carefully before using our services.

Agreement to Terms: By accessing the Marketing Graphs website (marketingraphs.com), submitting an enquiry, or engaging Marketing Graphs for any service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our website or services.

Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Marketing Graphs ("we," "us," "our," or "the Company") governing your use of our website and services.

These Terms apply to:

  • All visitors to the Marketing Graphs website (marketingraphs.com)
  • All individuals and businesses who submit enquiries, free audit requests, or consultation requests
  • All clients who engage Marketing Graphs for any paid service under a service agreement, proposal, or invoice
  • Any person acting on behalf of a business or organisation in engaging our services

By engaging our services, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and that the business or organisation you represent is duly registered and authorised to contract for the services requested.

Our Services

Marketing Graphs provides digital marketing and related technology services including, but not limited to:

  • Search Engine Optimisation (SEO), on-page, off-page, technical, and local SEO
  • Pay-Per-Click Advertising (PPC), Google Ads, Meta Ads, LinkedIn Ads, and other paid platforms
  • Social Media Marketing, organic content management and paid social advertising
  • Content Marketing, blog writing, article creation, copywriting, and content strategy
  • Website Design and Development, design, build, and maintenance of websites
  • Email Marketing, campaign creation, automation setup, and list management
  • App Store Optimisation (ASO)
  • Online Reputation Management (ORM)
  • Digital marketing strategy, consulting, and auditing services
  • Any other services outlined in a signed proposal, statement of work, or service agreement

The specific services, scope, deliverables, timelines, and fees applicable to each client engagement are set out in the individual service proposal, statement of work ("SOW"), or engagement letter ("Service Agreement") agreed between Marketing Graphs and the client. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall take precedence for the specific matter in conflict.

Client Responsibilities

The successful delivery of digital marketing services depends significantly on the client's active cooperation and timely provision of required materials. Clients agree to:

  • Provide accurate information: Supply accurate, complete, and up-to-date information about their business, products, services, target audience, competitors, and marketing objectives at the outset and throughout the engagement.
  • Grant necessary access: Provide timely access to required accounts, platforms, and tools, including website admin access, Google Analytics, Google Search Console, Google Ads, Meta Business Manager, social media accounts, and any other platforms required to deliver the agreed services.
  • Timely review and approval: Review and approve content, creative assets, campaign setups, and reports within the agreed timeframe. Delays in approval that impact campaign launch or deliverable timelines are the responsibility of the client, not Marketing Graphs.
  • Prompt communication: Respond to communications, queries, and requests from the Marketing Graphs team within a reasonable timeframe, typically 3 business days unless otherwise agreed.
  • Lawful business operations: Ensure that their business, products, services, and marketing materials comply with all applicable laws, regulations, and industry standards in their jurisdiction and target markets. Marketing Graphs shall not be responsible for any consequences arising from the client's failure to comply with applicable laws.
  • Intellectual property ownership: Ensure that all content, images, trademarks, logos, and other materials provided to Marketing Graphs for use in campaigns are owned by the client or properly licensed for commercial use. The client indemnifies Marketing Graphs against any third-party intellectual property claims arising from client-supplied materials.
  • Advertising spend management: Where advertising spend (Google Ads, Meta Ads, etc.) is managed by Marketing Graphs on the client's behalf, the client is responsible for maintaining adequate funds in their advertising accounts. Marketing Graphs is not liable for campaign interruptions caused by insufficient advertising account balances.
Important: Marketing Graphs' ability to deliver results is directly affected by the client's cooperation, timely approvals, and the quality of materials provided. Delays, incomplete information, or withheld access will affect deliverable timelines. Marketing Graphs shall not be in breach of its obligations where a delay or underperformance is caused by the client's failure to fulfil their responsibilities under this section.

Fees & Payments

5.1 Service Fees

All fees for our services are as quoted in the relevant service proposal, quotation, or Service Agreement. Fees are quoted in the currency specified in the proposal. Marketing Graphs reserves the right to revise its fees at any time, provided that existing clients receive at least 30 days' written notice of any fee changes.

5.2 Payment Terms
  • Retainer / Monthly services: Invoiced monthly in advance. Payment is due within 5 days of the invoice date unless otherwise stated in the Service Agreement.
  • Project-based work: A non-refundable deposit of 50% of the total project fee is required before work commences. The remaining balance is payable upon project completion or as per the milestone schedule in the Service Agreement.
  • Website design & development: Typically structured as 50% upfront before design work commences and 50% upon delivery of the completed website, unless otherwise agreed in writing.
  • Advertising spend: Any third-party advertising spend (Google Ads, Meta Ads, LinkedIn Ads) is separate from Marketing Graphs' management fees and is either billed directly to the client's own ad account or invoiced separately. Management fees are payable regardless of advertising spend levels.
5.3 Late Payments

If payment is not received by the due date specified on the invoice, Marketing Graphs reserves the right to:

  • Charge interest on overdue amounts at a rate of 9% per month (or the maximum rate permitted by applicable law, whichever is lower)
  • Suspend or pause the delivery of services until outstanding amounts are settled in full
  • Terminate the engagement in accordance with Section 12 of these Terms
  • Recover reasonable costs incurred in pursuing overdue payments, including legal or collection agency fees
5.4 Taxes

All fees quoted are exclusive of applicable taxes (including GST, VAT, or equivalent) unless expressly stated otherwise. Any applicable taxes will be added to invoices in accordance with the tax laws of the relevant jurisdiction. Clients are responsible for any taxes, duties, or levies payable in their own jurisdiction relating to the services received.

5.5 Payment Methods

We accept payment via [Bank Transfer / UPI / Stripe / PayPal / Razorpay / other methods as applicable]. Payment details will be provided on each invoice. Marketing Graphs does not store credit card or payment details, all card payments are processed securely by our third-party payment processor.

Refund Policy

6. Refund Policy

Marketing Graphs is committed to delivering high-quality digital marketing services and building long-term client relationships. We take our service quality seriously and have a clear, fair refund policy to address situations where issues arise.

Our commitment: We will always work in good faith to resolve service quality concerns before a refund is requested. If you are unhappy with any aspect of our service, please contact your account manager or email info@marketingraphs.com so we can address your concerns promptly.
6.1 General Refund Principles

Due to the nature of digital marketing services, which involve significant upfront time, strategy, research, and resource allocation, all fees paid to Marketing Graphs are generally considered non-refundable once work has commenced on the relevant service. However, we recognise that exceptional circumstances may arise, and we evaluate refund requests on a case-by-case basis in line with the policy below.

6.2 Eligibility for Refunds

Service significantly not delivered as agreed Case by Case Where Marketing Graphs has materially failed to deliver a service as specified in the signed Service Agreement, without justifiable reason, a partial or pro-rata refund may be considered after an internal review. The client must document the specific failure in writing.
Dissatisfaction with marketing results Not Eligible Digital marketing results, including search rankings, traffic, leads, conversions, and ROI, are influenced by many external factors outside our control. Dissatisfaction with results alone does not constitute grounds for a refund. We do not guarantee specific outcomes.
Cancellation after work has commenced (monthly retainer) Not Eligible Monthly retainer fees are non-refundable once the billing cycle has begun and work for that month is in progress. Clients may cancel future months by providing the required notice (see Section 12).
Cancellation of project after strategy / setup phase is complete Not Eligible Any upfront setup, strategy, onboarding, or consultation work completed is non-refundable, as these activities constitute a deliverable in their own right.
Advertising spend managed through third-party platforms Not Eligible Advertising spend paid to Google, Meta, LinkedIn, or any other third-party advertising platform is non-refundable by Marketing Graphs. Any refunds on third-party ad spend must be sought directly from the relevant platform under their own policies.
Client failure to provide required access, materials, or approvals Not Eligible Refunds will not be issued where delayed delivery or underperformance is caused by the client's failure to provide necessary access, materials, approvals, or cooperation in a timely manner.
6.3 How to Request a Refund

To request a refund, please follow these steps:

  • Step 1, Raise the issue: Contact your dedicated account manager or email info@marketingraphs.com to raise your concern. We will attempt to resolve the issue to your satisfaction first.
  • Step 2, Submit a written refund request: If the issue cannot be resolved, submit a formal refund request in writing to info@marketingraphs.com including: your name, company name, invoice number(s), service(s) concerned, and a clear explanation of the basis for your refund request.
  • Step 3, Review: Marketing Graphs will acknowledge your refund request within 3 business days and complete an internal review within 10 business days of receiving your written request.
  • Step 4, Decision: We will communicate our decision in writing. If a refund is approved, it will be processed to the original payment method within 7–14 business days of the decision date.
6.4 Partial Refunds

Where a partial refund is determined to be appropriate, for example, where a portion of an agreed scope was not delivered, the refund amount will be calculated on a pro-rata basis relative to the total service fee, taking into account the value of work already completed and delivered.

6.5 Chargebacks and Payment Disputes

We ask that clients contact us directly before initiating a chargeback or payment dispute with their bank or card provider. Initiating an unwarranted chargeback is a violation of these Terms and may result in termination of the client relationship and referral to legal proceedings if applicable. Marketing Graphs will respond fully to any chargeback investigation with documentation of services provided.

6.6 Service Credits

In some circumstances where a full or partial cash refund is not applicable, Marketing Graphs may, at its discretion, offer a service credit equivalent to the value in dispute. Service credits can be applied toward future Marketing Graphs services and are valid for [12] months from the date of issue. Service credits are non-transferable and have no cash value.

Please note: All refund decisions are final once communicated in writing. Marketing Graphs reserves the right to apply professional judgment in evaluating refund requests and to decline requests that do not meet the eligibility criteria set out in Section 6.2 above.

Proposals & Service Agreements

All proposals, quotations, and service agreements issued by Marketing Graphs are subject to these Terms and Conditions unless expressly superseded in writing. Proposals are valid for [30] days from the date of issue unless otherwise stated.

A binding engagement is formed when:

  • A signed Service Agreement, proposal, or statement of work is returned by the client; or
  • Payment of a deposit or first invoice is made by the client in acceptance of the proposal; or
  • The client provides written confirmation (including email) of their acceptance of the proposal

Any changes to the agreed scope of work must be requested in writing and will be subject to a revised quotation where additional fees apply. Marketing Graphs reserves the right to decline scope change requests where they would materially alter the nature of the agreed engagement.

8

Intellectual Property

8.1 Client's Pre-Existing IP

All pre-existing intellectual property belonging to the client, including trademarks, logos, brand assets, website content, and proprietary materials, remains the exclusive property of the client. By engaging Marketing Graphs, the client grants Marketing Graphs a non-exclusive, royalty-free licence to use such materials solely for the purpose of delivering the agreed services.

8.2 Work Product, Upon Full Payment

Subject to full payment of all applicable fees, Marketing Graphs assigns to the client the rights to the following deliverables specifically created for the client under a Service Agreement:

  • Written content, blog articles, copy, and marketing materials created exclusively for the client
  • Website designs and custom graphic assets created specifically for the client's brand
  • Reports, audits, and strategy documents prepared specifically for the client's business
8.3 Marketing Graphs' Retained IP

Marketing Graphs retains all rights to the following, regardless of payment:

  • Marketing Graphs' proprietary processes, methodologies, frameworks, and tools used to deliver services
  • Pre-existing templates, code libraries, software tools, and internal systems
  • General marketing knowledge, strategies, and expertise developed through our operations
  • Any materials not specifically commissioned as client-exclusive deliverables
8.4 Portfolio Usage

Unless the client expressly requests otherwise in writing, Marketing Graphs reserves the right to reference the client's business name, website URL, and general service results (e.g., "increased organic traffic by 75%") in our portfolio, case studies, website, and marketing materials for the purpose of showcasing our work. We will never disclose confidential financial data or sensitive business information in any portfolio usage.

Confidentiality

Both parties acknowledge that during the course of the engagement, each party may have access to confidential information belonging to the other. "Confidential Information" includes, but is not limited to: business strategies, financial data, customer lists, pricing, proprietary processes, technical information, and any information designated as confidential.

Each party agrees to:

  • Keep the other party's confidential information strictly confidential
  • Not disclose confidential information to any third party without prior written consent
  • Use confidential information solely for the purposes of the engagement
  • Take reasonable steps to protect the other party's confidential information from unauthorised disclosure

Confidentiality obligations survive the termination of the engagement for a period of [3] years. They do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Results & Warranties

No guarantee of specific results: Digital marketing results, including but not limited to search engine rankings, website traffic, lead volumes, conversion rates, sales, and return on advertising spend, are influenced by numerous factors outside Marketing Graphs' control, including but not limited to search engine algorithm changes, competitor activity, market conditions, platform policy changes, seasonal factors, and the quality and competitiveness of the client's own products and services.

Marketing Graphs makes no guarantee, warranty, or representation of any specific ranking, traffic, lead generation, or revenue outcome. All performance projections, forecasts, and estimates provided in proposals are indicative only and based on industry experience, they do not constitute a contractual commitment to deliver specific outcomes.

Marketing Graphs warrants that:

  • Services will be performed with reasonable skill, care, and diligence by qualified professionals
  • We will comply with applicable platform terms of service (Google Ads policies, Meta advertising policies, etc.) and will not engage in tactics that knowingly violate these policies
  • We will use only ethical, "white-hat" SEO practices in accordance with Google's published Webmaster Guidelines
  • We will maintain the confidentiality of client information in accordance with Section 9 and our Privacy Policy

All other warranties, whether express or implied, are excluded to the maximum extent permitted by applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Marketing Graphs' total aggregate liability to any client arising from or in connection with the provision of services, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by that client to Marketing Graphs in the [3] months immediately preceding the event giving rise to the claim.

Marketing Graphs shall not be liable for:

  • Any indirect, incidental, consequential, special, or punitive losses or damages
  • Loss of profits, revenue, business, goodwill, anticipated savings, or data
  • Losses arising from search engine algorithm changes, platform policy updates, or third-party platform decisions
  • Losses caused by the client's own actions, omissions, or failure to follow professional recommendations
  • Losses arising from inaccurate information provided by the client
  • Any loss resulting from the actions of third-party advertising platforms, social media networks, or other external service providers
  • Website downtime, data loss, or security incidents caused by third-party hosting providers or forces outside Marketing Graphs' reasonable control

Nothing in these Terms limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Termination

12.1 Termination by Client

Clients wishing to terminate an ongoing service retainer must provide written notice of [30] days (or as specified in the Service Agreement). Notice must be submitted in writing via email to info@marketingraphs.com. Services will continue and fees will remain payable during the notice period. Fees paid in advance for the notice period are non-refundable.

For project-based engagements, early termination by the client following commencement of work will result in payment becoming due for all work completed to date plus any reasonable costs already incurred by Marketing Graphs in preparing for the remaining scope.

12.2 Termination by Marketing Graphs

Marketing Graphs reserves the right to terminate a client engagement with immediate effect, or with reasonable notice, in the following circumstances:

  • Non-payment of fees, where an invoice remains unpaid for more than [14] days beyond the due date after a payment reminder has been issued
  • The client's business, products, or services are found to be illegal, fraudulent, or in material violation of applicable laws
  • The client requests or instructs Marketing Graphs to engage in unethical, deceptive, or black-hat marketing practices
  • Material breach of these Terms by the client that is not remedied within [14] days of written notice
  • Persistent abusive, threatening, or unprofessional conduct toward Marketing Graphs staff
12.3 Effects of Termination

Upon termination: all access to client accounts will be returned promptly; any outstanding fees for work completed up to the termination date become immediately payable; and confidentiality obligations and any provisions that by their nature should survive termination shall remain in full effect.

Use of the Marketing Graphs Website

By accessing marketingraphs.com, you agree to use the website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the website. You must not:

  • Use the website in any way that violates applicable local, national, or international laws or regulations
  • Transmit unsolicited commercial communications (spam) or engage in any form of phishing or fraudulent activity
  • Attempt to gain unauthorised access to any part of the website, its servers, or any connected systems
  • Reproduce, duplicate, copy, sell, or exploit any part of the website's content without our express written permission
  • Upload or transmit any viruses, malware, or other malicious code
  • Use automated tools to scrape, crawl, or extract content from the website without prior written consent

Marketing Graphs reserves the right to restrict or remove access to the website for any user who violates these Terms, without prior notice. The website and all its content are provided "as is", we do not warrant that the website will be uninterrupted, error-free, or free of viruses.

Third-Party Platforms & Tools

Marketing Graphs' services involve the use of third-party platforms, tools, and services, including but not limited to Google, Meta, LinkedIn, Semrush, Ahrefs, Mailchimp, WordPress, and others. The availability, functionality, and policies of these platforms are outside Marketing Graphs' control.

Marketing Graphs is not responsible for:

  • Changes to third-party platform algorithms, features, or policies that affect the performance of campaigns or services
  • Suspension or restriction of client advertising accounts by Google, Meta, LinkedIn, or other platforms due to policy violations attributable to the client's business or content
  • Downtime, data loss, or service interruptions caused by third-party platform outages
  • Price increases for third-party tools or advertising platforms

Clients are required to comply with the terms of service of all third-party platforms used in connection with their marketing campaigns. Marketing Graphs will advise clients of relevant platform policies but the client is ultimately responsible for ensuring their business complies with these policies.

Governing Law & Dispute Resolution

These Terms and Conditions and any dispute or claim arising from them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of [Your Jurisdiction, e.g. the Republic of India / England and Wales / the State of [X], USA], without regard to its conflict of law provisions.

15.1 Dispute Resolution Process

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services provided, the parties agree to the following resolution process:

  • Step 1, Good Faith Negotiation: The parties shall first attempt to resolve the dispute through direct, good-faith negotiation between senior representatives of each party within 30 days of one party notifying the other of the dispute in writing.
  • Step 2, Mediation: If direct negotiation fails to resolve the dispute within 30 days, the parties may agree to appoint a mutually acceptable mediator to facilitate a resolution.
  • Step 3, Legal Proceedings: If mediation is unsuccessful or agreed to be inappropriate, either party may pursue legal remedies through the courts of the jurisdiction specified above.

The exclusive jurisdiction for any legal proceedings shall be the courts of [Your City / Jurisdiction]. Both parties consent to personal jurisdiction in those courts.

Changes to These Terms

Marketing Graphs reserves the right to update or amend these Terms and Conditions at any time. Material changes will be notified to existing clients by email and/or by a prominent notice on our website at least [14] days before the changes take effect.

Your continued use of our website or services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must notify us in writing and cease using our services before the effective date of the changes.

The "Last Updated" date at the top of this document will always reflect the most recent revision. Previous versions of these Terms may be requested from us in writing.
